BMBE Registration for Coffee Shops: Tax and Wage Rules (2026)

Quick answer: BMBE registration gives a small business a Certificate of Authority under Republic Act No. 9178, the Barangay Micro Business Enterprises Act of 2002. A coffee shop with total assets of ₱3,000,000 or less, not counting land, can apply for free through a DTI Negosyo Center or the BMBE online portal. Once registered, it pays no income tax on income from operations and is exempt from the Minimum Wage Law for workers hired after registration. It still pays percentage tax or VAT, SSS, PhilHealth and Pag-IBIG.
Key takeaways
- The asset ceiling is ₱3,000,000, including assets bought with loans but excluding the land under the office, plant and equipment (RA 9178, Sec. 3).
- The Certificate of Authority is free, lasts two years and is renewable every two years. DTI must act within 15 working days or the application is deemed approved.
- The income tax exemption covers income from the business’s operations only. Percentage tax (3% since July 1, 2023) and other taxes still apply.
- In our illustration of a non-VAT café with ₱2.5 million in sales and ₱500,000 net income, BMBE status cuts yearly tax from ₱117,500 to ₱75,000.
- The wage exemption only applies to staff hired after registration, and existing wages cannot be reduced.
We sell beans to many small cafés, kiosks and home-based coffee sellers, and BMBE registration comes up often when owners are working out their first-year costs. This guide reads the law, DTI’s current BMBE rules and the Department of Finance guidelines, then puts numbers on the tax side. It is a plain-language summary, not tax or legal advice. Check your own case with your Revenue District Office, your Negosyo Center or an accountant.
What is a BMBE?
RA 9178 defines a Barangay Micro Business Enterprise as a business “engaged in the production, processing or manufacturing of products or commodities, including agro-processing, trading and services,” with total assets of not more than ₱3,000,000. Assets bought with borrowed money count. The land on which the business’s office, plant and equipment sit does not.
The only type of service excluded is one rendered by a person licensed after passing a government licensure exam, in the practice of that profession. A café, coffee cart, milk tea kiosk or small roastery falls within production, trading or services, so it can qualify on the asset test. Sole proprietors need a DTI business name certificate, corporations and partnerships a SEC registration, and cooperatives a CDA registration.
Registration moved from city and municipal treasurers to DTI in 2014. Section 5(b) of RA 10644, the Go Negosyo Act, gave DTI, through its Negosyo Centers, “the sole power to issue the Certificate of Authority for BMBEs.”

| Benefit | What the law says | What it does not cover |
|---|---|---|
| Income tax exemption | No income tax on income arising from the business’s operations (RA 9178, Sec. 7) | Interest, royalties, dividends, capital gains, compensation income and other passive income (DOF DO 17-04, Rule 3) |
| Minimum Wage Law exemption | Exempt from the Minimum Wage Law; employees keep social security and health care benefits (Sec. 8) | Employees hired before registration, who keep their wages and benefits |
| Special credit window | LBP, DBP and other government lenders are directed to set up credit windows for BMBEs (Sec. 9) | A guarantee of approval for any loan |
| Training and marketing help | DTI, DOST, UP ISSI, CDA and TESDA programs (Sec. 10) | Cash grants |
| Local taxes and fees | LGUs are “encouraged” to reduce or waive local taxes and fees (Sec. 7) | A required waiver; it depends on your city or municipality |
How much tax does BMBE status save a café?
For a sole proprietor, the saving is the income tax that would have been paid under the graduated rates. The 2023 onward schedule in RA 10963 (TRAIN) charges 0% on the first ₱250,000 of taxable income, 15% of the excess up to ₱400,000, then ₱22,500 plus 20% of the excess up to ₱800,000, and ₱102,500 plus 25% of the excess up to ₱2,000,000.
The percentage tax stays. Section 116 of the Tax Code, as amended by RA 11534 (CREATE), charges non-VAT businesses 3% of gross quarterly sales, after a temporary 1% rate from July 1, 2020 to June 30, 2023. A business must register for VAT once its gross sales pass ₱3,000,000 in 12 months, the threshold in Section 109(BB). DOF Department Order No. 17-04, the tax guidelines for BMBEs, says a BMBE “shall be subject to all other taxes and compliance requirements” of the Tax Code.
Sole proprietors below the VAT threshold can also choose an 8% tax on gross sales above ₱250,000, in place of both the graduated income tax and the 3% percentage tax. We compare all three set-ups below. The net income figure is our own round assumption of 20% of sales, used only to show how the rules interact. Your café’s real margin will differ.

| Yearly gross sales | ₱1,500,000 | ₱2,500,000 | ₱2,900,000 |
|---|---|---|---|
| Net taxable income (assumed 20%) | ₱300,000 | ₱500,000 | ₱580,000 |
| Graduated income tax (2023 table) | ₱7,500 | ₱42,500 | ₱58,500 |
| 3% percentage tax | ₱45,000 | ₱75,000 | ₱87,000 |
| Total, graduated + percentage tax | ₱52,500 | ₱117,500 | ₱145,500 |
| Total, 8% option | ₱100,000 | ₱180,000 | ₱212,000 |
| Total, BMBE (percentage tax only) | ₱45,000 | ₱75,000 | ₱87,000 |
| BMBE saving vs graduated | ₱7,500 | ₱42,500 | ₱58,500 |
Two things stand out. The 8% option costs the most at a 20% margin, because it taxes sales rather than profit. And the BMBE saving grows with profit. A café earning less than ₱250,000 in taxable income a year already pays no income tax under the graduated table, so BMBE status saves it nothing on income tax.
How does the minimum wage exemption work?
DTI’s 2016 guide to RA 9178 says the exemption is automatic once the Certificate of Authority is issued, and that it is prospective. “Existing employees shall continue to receive their wages, allowances, and other benefits,” the guide says. Only workers hired after registration are outside the Minimum Wage Law, and their pay is agreed between employer and worker.
The same guide says BMBE workers “shall continue to be covered by applicable labor laws and regulations, including the non-diminution rule on existing wages and benefits,” and RA 9178 keeps their social security and health care benefits. In Metro Manila the floor being waived is real money: Wage Order NCR-28 set ₱755 a day for non-agricultural workers and ₱718 for retail and service establishments with 15 workers or fewer, effective September 26, 2026, according to GMA News. Our barista salary guide shows what a minimum wage barista costs per month with contributions.
Does an espresso machine count toward the ₱3 million?
Yes. Equipment, furniture, inventory, cash and vehicles all count. The DTI rules value assets at acquisition cost net of depreciation under generally accepted accounting principles, or book value, whichever is higher. Cash counts at face value.
The BIR side is wider. For the income tax exemption, DOF Department Order No. 17-04 counts properties “owned and used/to be used or even if not owned but used /to be used” by the BMBE and its affiliates. A leased machine or one lent by a supplier can therefore count, as can the assets of a related business under common control. So splitting outlets into separate business names does not by itself keep a café group under the ceiling for income tax purposes.
How much does registration cost?
DTI’s BMBE portal says: “The registration and issuance of the Certificate of Authority is FREE of charge.” RA 10644 allows DTI to charge up to ₱1,000, but DTI Department Administrative Order No. 16-01, s. 2016, circularized by the BIR in Revenue Memorandum Circular No. 63-2018, set registration at no cost.
DOF Department Order No. 17-04 also mentions a ₱500 annual BIR registration fee for BMBEs. That fee is gone for all businesses: the Philippine Information Agency reported in January 2024 that the BIR would stop collecting the ₱500 annual registration fee from January 22, 2024 under RA 11976, the Ease of Paying Taxes Act. Our coffee shop permits guide lists the fees that remain, such as the DTI business name and the mayor’s permit.
How to register a coffee shop as a BMBE
- Register the business name. Sole proprietors register with DTI; corporations and partnerships with the SEC; cooperatives with the CDA.
- Get your local permits and BIR registration. Barangay clearance, mayor’s permit and BIR certificate of registration come first for most cafés.
- Apply for the Certificate of Authority. Use the BMBE online portal at bmbe.dti.gov.ph or visit a Negosyo Center. The listed requirements are the application form and the business name or registration certificate.
- Wait up to 15 working days. If DTI does not act on a complete application in that time, the certificate is deemed approved.
- Register your BMBE status with your BIR RDO. Submit the certificate, a sworn statement of assets, a list of branches and storage places, a list of affiliates, and the latest financial statement or account information form.
- File the Annual Information Return. It replaces the income tax return and is due by the 15th day of the fourth month after the tax year ends, April 15 for a calendar year.
- Renew every two years. Renewal depends on still meeting the eligibility rules, including the ₱3,000,000 asset ceiling.
When can a café lose BMBE status?
The DTI guide lists the grounds for revoking the income tax exemption: transferring the place of business; total assets above ₱3,000,000; voluntary surrender of the certificate; death of the individual owner; violation of RA 9178; merger with an entity that is not eligible; sale or transfer of a sole proprietorship; fake or falsified documents; retirement or a one-year cessation of operations; and false or omitted declarations. When the BIR revokes the exemption, DOF DO 17-04 says it will require payment of the income tax due.
A growing café should watch the asset total each year. A second espresso machine, a grinder upgrade or a delivery motorcycle can push a small shop past the ceiling sooner than its sales would suggest.
Is the BMBE law changing?
House Bill No. 8233, filed on March 2, 2026 by Representative Eduardo R. Rama Jr. of Cebu City’s 2nd District, proposes amendments to RA 9178. Its text would lengthen the certificate to three years, cut processing to five working days, exempt first-time registrants from local taxes, fees and charges for their first three years if they show semi-annual proof of local jobs created, and offer interest-free loans of up to ₱1,000,000 without collateral, payable over up to three years. It is a filed bill. None of these changes is law as of October 24, 2026.
Frequently asked questions
Can a coffee shop register as a BMBE?
Yes, if its total assets are not more than ₱3,000,000, excluding the land its office and equipment stand on. RA 9178 covers businesses in production, processing, trading and services, and only licensed professionals practicing their profession are excluded.
How much does BMBE registration cost?
DTI’s BMBE site and the 2016 DTI guide say the Certificate of Authority is free of charge. RA 10644 allows DTI to charge up to ₱1,000, but DTI Department Administrative Order No. 16-01, s. 2016 made registration free.
Does a BMBE still pay percentage tax?
Yes. The exemption under RA 9178 covers income tax on income from the business’s operations. DOF Department Order No. 17-04 keeps BMBEs subject to all other taxes, so a non-VAT café still pays the 3% percentage tax on gross sales.
How long is a BMBE certificate valid?
Two years from the date of issuance, renewable every two years as long as the business still qualifies. A pending House bill, HB 8233, proposes three years, but it is not yet law.
